This study aims to explore the relationship between corporate governance practices and financial sustainability in light of OECD principles of corporate governance. Altman's Z-scores and CG ratings of 20 companies listed in the Borsa Istanbul Corporate Governance Index (XKURY) were analyzed using the TOPSIS method. This study investigates the effects of CG practices on the firm-level financial performance of Borsa Istanbul XKURY-indexed companies during 2007-2019. Four specific aspects of CG are analysed: shareholders' rights, public disclosure and transparency, stakeholders' rights, and board of directors functioning, as defined by the Turkish Code of Corporate Governance, in line with international principles of CG issued by OECD. Alternative estimations of panel regression analysis indicate a positive association between stakeholder-oriented governance practices and firm-level financial performance expressed by accounting measures for both financial and non-financial companies. Shareholder protection policies have a negative influence on accounting-based performance, especially for non-financial industries, whereas the corporate practices related to board of directors and public disclosure vary between financial and non-financial entities. These findings contribute to international research on CG implications for emerging markets, providing evidence about the importance of stakeholders' protection and the distinctive effects of CG dimensions for corporate financial performance.Article Citation - WoS: 1Citation - Scopus: 1Who Dictates Corporate Governance Practices in Turkey? the Role of Ownership Structure for Xkury Companies(Routledge Journals, Taylor & Francis Ltd, 2020) Saygili, Ebru; Saygılı, Arıkan Tarık; Taran, AlinaThis paper investigates the influence of ownership structure on corporate governance practices of Turkish companies listed in Borsa Istanbul Corporate Governance Index (XKURY). It proposes a context-specific ownership structure (founding families, state ownership, foreign ownership from both developed and emerging markets, and institutional investors), and publicly available corporate governance scores as indicators for corporate governance practices. The results of fixed effects panel regression analyses show that state ownership has a negative influence on weighted and non-weighted average corporate governance scores, as mainly determined by shareholder protection and board of directors-related practices during 2010-2017. The evidence regarding the other ownership categories is not sufficient over alternative estimations. Overall, the study provides a critical assessment of the role of ownership in shaping the corporate governance practices of XKURY companies.Doctoral Thesis Impact of Accounting and Macro-Economic Indicators on Market Value of Firms Under Different Legal Orientation(İzmir Ekonomi Üniversitesi, 2021) Irshad, Shoaıb; Saygılı, Arıkan TarıkBu makale, muhasebe değişkenlerinin ve makroekonomik göstergelerin, UFRS kullanan ve dört farklı yasal yönelim altında sınıflandırılmış on altı ülkenin firmalarının piyasa değeri üzerindeki etkisini araştırmaktadır. 2006-2019 dönemi için hisse senedi fiyatlarının yıllık verilerini, muhasebe değişkenlerini ve makro-ekonomik göstergeleri analiz ettik. Muhasebe ve makroekonomik göstergelerin, hisse senedi fiyatlarındaki farklı yasal düzenlemeler altında değişen değişkenlik derecelerini açıkladığını gördük. Muhasebe değişkenleri arasında hisse başına kazanç, Anglo-saxon hukuk sistemine sahip ülkelerde daha fazla açıklayıcı güce sahipken, hisse başına düşen defter değeri, kıta avrupası hukuk sistemine sahip ülkelerde daha fazla ağırlık taşımaktadır. Makro ekonomik değişkenlerin genel olarak muhasebe değişkenlerinin açıklayıcı gücünü arttırdığını da tespit ettik. Sonuçlar, ülkelerin piyasa yapısının hisse fiyatları üzerinde önemli bir etkisi olduğunu göstermektedir. The economic, environmental and social sustainability disclosures of 34 companies were analyzed in relation to Global Reporting Initiative (GRI) standards. The results of the analysis revealed that the most frequently mentioned sustainability issues were related to employees, water, product, market, supplier, education, economic, energy and waste. Kurumsal yönetim, şirketlerin bu rekabette var olması ve başarısı için önemli bir rol oynamaktadır. Bu çalışmada OECD (Organization for Economic Corporation and Development) prensipleri detaylı bir şekilde incelenmeye ve anlaşılmaya çalışılarak kurumsal yönetim ile finansal sürdürebilirlik arasındaki ilişkiyi araştırmak ve açıklamak amaçlanmaktadır. Bu çalışmada, 2013 ve 2018 mali yılları arasında Kamuyu Aydınlatma Platformunda yer alan 20 şirket incelenmeye tabii tutulmuştur. Bu şirketlerin finansal oranları Altman Z-Skor çerçevesinde değerlendirilmiş ve kurumsal yönetim indeksleri TOPSIS metodu ile hesaplanmıştır. Transparency and disclosure is one of the most important aspects of corporate governance which becomes more important every single day as global business applications spread all over the world and information needs of owners, investors, creditors and other interest groups to businesses increase. In the first part of the study a framework for disclosures is provided by classifying public company reports into four main categories which are financial reports, annual reports, securities exchange commission filings and corporate social responsibility reports. Each report category is discussed in light of the attributes of disclosed information, recent regulations, reporting trends and practices. In the second part, the concepts of transparency and full disclosure are studied and analyzed through perspectives of board of directors, members of internal control (audit) committee and external auditing function. Through literature review, we note that having independent members on board and the audit committee seem to be the most important aspect promoting transparency and full disclosure practices. In addition, number of meetings held and financial literacy of the board and audit committee members are questioned and they seem to have some impact on transparency and full disclosure as well. Ortaklık yapısı (kurucu aileler, devlet mülkiyeti hem gelişmiş hem de gelişmekte olan piyasalardan yabancı mülkiyet ve kurumsal yatırımcılar) ve kamuya açık kurumsal yönetişim puanları kurumsal yönetişim uygulamaları için gösterge olarak seçilmiştir. Bu amaçla, BIST Kurumsal Yönetim Endeksi'nde halka açık ve işlem gören 20 imalat şirketinin kurumsal yönetim endeks değerlendirmeleri ortaklık yapıları ile birlikte TOPSIS üzerinden analiz edilmiştir. This study explores the hybrid nature of SME credit scoring systems by developing an SME credit scoring model with general indicators, financial indicators and intelligence indicators related to the company and the major shareholder. This study is the first to explore the effect of intelligence indicators in credit scoring. It used regression analysis to evaluate real data from 125 SMEs operating in Turkey. Of 17 independent variables, 9 had statistically significant relationships with SME credit scores. The paper includes a comprehensive discussion of the implications of these findings.
