Karşılaştırmalı Hukuk'ta ve Türk Hukuku'nda Joint Venture

Abstract

Karşılaştırmalı Hukuk'ta ve Türk Hukuku'nda Joint Venture başlıklı bu yüksek lisans tezi üç bölümden oluşmaktadır. Birinci bölüm joint venture kavramına dair bir tanımlama ve kavramsal çerçevenin çizilmesine ayrılmıştır. Yine aynı bölümde joint venture ilişkisinin hukuki niteliği, türleri ve ortakların hak ve yükümlülükleri, joint venture'ın diğer benzer kurumlarla olan benzerlik ve farkları da ele alınan hususlar arasında yer almaktadır. Çalışmanın ikinci bölümü karşılaştırmalı hukuk çerçevesinde joint venture kavramının temel prensiplerinin incelenmesine ayrılmıştır. Bu bölümde ABD ve Rusya Federasyonu hukukları başta olmak üzere, Birleşik Krallık, Çin, Fransa, Japonya, Almanya, Fransa ve Kanada hukuklarında da joint venture kurumunun hukuki niteliğinin ana hatlarına değinilmiştir. Son olarak çalışmanın üçüncü bölümünde ise Türk uygulaması ve hukukunda joint venture ortaklıkları ele alınmaktadır. Türkiye'de joint venture uygulamaları son 30 yıldır artan bir sıklıkla gözlenmektedir. Özellikle köprü, baraj ve otoyol gibi dev kapsamlı projeler joint venture ilişkileriyle yürütülmektedir. Üçüncü bölümde Türk hukukunda joint venture ilişkileri, Türk Ticaret Kanunu (TTK), Türk Borçlar Kanunu (TBK), Kurumlar Vergisi Kanunu ve Rekabet Hukuku çerçevesinde ele alınmıştır. Bu yasal çerçeve kapsamında, joint venture'ın kuruluşu, ortakların hak ve yükümlülükleri, ortaklığın idaresi ve temsili, joint venture'ın tasfiyesi ve olası uyuşmazlıkların çözümü hususları incelenmiştir.

This LLM thesis entitled the Legal Status of Joint Ventures in Turkey and Comparative Law. Law consists of three parts. The first part is devoted to a definition and conceptual framework for the concept of joint venture. The same section also includes the legal nature of the joint venture relationship, the types and rights and obligations of the partners, and the similarities and differences of the joint venture with other similar institutions. The second part of the study is devoted to examining the concept of joint venture in the context of comparative law. In this section, the legal aspects of the joint venture institution are mentioned in the United Kingdom, China, France, Japan, Germany, France and Canadian laws; but mainly and particularly, in the US and Russian Federation. Finally, in the third part of the study, joint venture partnerships are discussed in Turkish practice and law. Joint venture in Turkey has been observed with an increasing frequency in the last 30 years. The giant projects like bridges, dams and motorways are carried out by means of joint ventures. In the third chapter, joint venture relations in Turkish law are dealt with under the Turkish Commercial Code (TTK), Turkish Obligations Law (TBK), Institutional Tax Law and Competition Law. Under this legal framework, the establishment of the joint venture, the rights and obligations of the partners, the administration and representation of the partnership, the liquidation of the joint venture and the resolution of possible disputes have been examined.
