6102 Sayılı Türk Ticaret Kanunu'na Göre Anonim Şirket Genel Kurul Toplantısına Pay Sahiplerini Davet Usulü ve İhlalin Sonuçları

Abstract

Anonim şirketler sermaye şirketleri arasında en çok tercih edilen ve mevzuatımızda da en geniş düzenlemelere yer verilen ortaklık türüdür. Genel kurul ise anonim şirketlerin zorunlu organlarından biri olup ortakların şirket işleyişi ve mali durumu başta olmak üzere şirket hakkında bilgi alabildikleri, müzakerelerde bulunabildikleri ve karar aldıkları organdır. Ortakların fikirlerini beyan edebilmeleri ve şirket işleyişinde söz sahibi olabilmeleri açısından genel kurula katılmaları büyük önem taşımaktadır. Bu nedenle ortakların genel kurula usule uygun davet edilerek bilgi alma ve toplantılara katılma hakları başta olmak üzere ortaklıktan doğan haklarını kullanabilmelerine imkân tanınması gerekmektedir. Bu çalışmada ilk olarak genel kurulun tanımı, yetkileri ve türleri incelenecek olup akabinde genel kurulu toplantıya davet yetkisine sahip olanlar, davet usulü ve usule aykırılığın sonuçlarından bahsedilecektir.

Joint stock companies are the most preferred type of partnership among corporations and the most inclusive regulations in our legislation. The general assembly is one of the obligatory structure of joint stock companies and is the structure where the shareholders can get information about the company, especially the company's operation and financial situation, negotiate about related agendas and make decisions. It's important for the shareholders to attend the general assembly so that they can express their opinions and have a voice in the operation of the company. For this reason, it is necessary for the shareholders to be duly invited to the general assembly and be given the opportunity to exercise their rights from the partnership, especially the right to receive information and attend the meetings. This research includes first of all examination of the definition, powers and types of the general assembly and finally those who have the authority to invite the general assembly to the meeting, the invitation procedure and the consequences of the violation of the procedure will mentioned.
