Limited Şirketlerde Genel Kurul

Abstract

Bu çalışma ile limited şirketlerin yönetim hakları alanında görev yapan en geniş yetkilere sahip karar organı olan genel kurulun toplantılarını düzenleyen hükümler, Türk Ticaret Kanunu ve Yargıtay içtihatları çerçevesinde incelenmektedir. Bu kapsamda, 1 Temmuz 2012 tarihinde yürürlüğe giren 6102 sayılı Türk Ticaret Kanunu çerçevesinde limited şirketlerin genel esasları, limited şirket genel kurulunun organ yapısı ve niteliği, görev ve yetkileri, genel kurul toplantıları, çeşitleri, toplantıya çağrılma, toplantı gündemi, toplantıya katılma hakkı ve elektronik ortamda katılım, genel kurulda oylamalar, başkanlık divanı ve başkan, oy hakkı, kapsamı, oy hakkından yoksunluk ve oy hakkının donması, oylama türleri, genel kurul kararlarının alınması, toplantı tutanağı, genel kurul kararların tescili ve genel kurul kararlarının iptali, yokluğu ve hükümsüzlüğü konuları irdelenmiştir. 6102 sayılı Türk Ticaret Kanunu sistematiğinde anonim şirketlere ilişkin hükümlerden söz edilirken, birçok hükümde, anonim şirketlere ilişkin hükümlerin limited şirketlerde de uygulanması gerektiğine atıf yapılmıştır. Anonim ve limited şirketlerin birbirinden farklı yapıda olması nedeniyle kanunun bu sistematiğinde, uygulama ve yorum yönünden Yargıtay içtihatları önemli yer tutmaktadır. Çalışmamız, kanunun sistematiği gereği özel çalışma ve yasa maddeleri, Yargıtay içtihatları ve doktrin görüşleri derleme ihtiyacı duyulan bu konuda kaynak oluşturma çabasına hizmet vermek amacıyla oluşturulmuştur.

In this study, the provisions regulating the general assembly meetings, which are the decision-making bodies with the largest powers acting in the field of management rights of limited liability companies, are examined within the framework of Turkish Commercial Code and Supreme Court practices. In this scope, general principles of limited liability companies, the structure and nature of the organ of the company's general assembly, duties and authorities, general meetings, its types, meeting call, meeting agenda, right to attend the meeting and participation in the electronic environment, voting at the general assembly, presidency council and chairman, voting right, its scope, lack of voting rights and freezing of voting rights, types of voting, taking decisions of the general assembly, meeting minutes, registration of the resolutions of the general assembly and the cancellation, absence and invalidity of the resolutions of the general assembly are discussed within the framework of Turkish Commercial Code No 6102, which entered into force on 1 July 2012. As referring to the provisions of joint stock companies in the systematic of the Turkish Commercial Code No. 6102, in many of the provisions, reference was made to the necessity of application of the provisions applied to joint stock companies to limited liability companies. Because of the different structure of joint-stock companies and limited liability companies, the Supreme Court practices have an important place in terms of implementation and interpretation in this systematic of the law. Our study has been carried out to create resource for effort requirement to compile private study and law articles, Supreme Court practices and doctrine opinions as per the systematic of the law.
