Anonim Şirketlerde Bilgi Alma ve İnceleme Hakkı Çerçevesinde Eşit İşlem İlkesi

Abstract

Bu çalışma ile Ticaret Hukukunun en önemli süjelerinden olan anonim şirketlerde paydaş olanların bilgi alma ve inceleme hakkının kapsamı, sınırı ve niteliği Türk Ticaret Kanunu ve Yargıtay kararları çerçevesinde incelenmektedir. Bu kapsamda, 6102 sayılı Türk Ticaret Kanunu çerçevesinde eşit işlem ilkesi kavramı, eşit işlem kavramına yönelik düzenlemeler, eşit işlem ilkesi kapsamında bilgi alma ve inceleme hakkı ile eşit işlem ilkesinden sorumlu olan organ ve kişiler ile bu hakkın kullanılamaması durumunda başvurulabilecek hukuki yollar irdelenmiştir.Anonim şirketlerde pay sahibi olanların, nispi eşitlik çerçevesinde payların çoğunu elinde bulunduran kişiler karşısında eşit haklara sahip olması, şirketlerin şeffaf yönetimi ve denetimi bakımından önem arz etmektedir. Bu hususta pay sahiplerinin kullanabileceği yollardan biri de bilgi edinme ve inceleme hakkının kullanılmasıdır. Hakkın kullanılamaması durumunda paydaşlar, hukuki yollara başvurabilecektir. Çalışmamız, kanunun sistematiği gereği özel çalışma ve yasa maddeleri ile Yargıtay kararları ve doktrin görüşlerinin derlenmesi ihtiyacı duyulan bu konuda kaynak oluşturma çabasına hizmet vermek amacıyla oluşturulmuştur.

In this study, the scope, limit and quality of the shareholders' right to request information and examination in joint stock companies, which are among the most important subjects of Commercial Law, are examined within the framework of the Turkish Commercial Code and the Supreme Court precedents. In this context, this study examines the equal treatment principle within the framework of the Turkish Commercial Code No. 6102, the regulations regarding the concept of equal treatment, the right to request information and examination within the scope of the equal treatment principle, the organs and persons responsible for the equal treatment principle, and the legal actions that can be taken in case this right cannot be exercised.In terms of transparent management and auditing of companies, it is important that shareholders in joint stock companies have equal rights against those who hold most of the shares in accordance with the principle of relative equality. One of the methods that shareholders can use in this regard is to exercise their right to request information and examination. In case the right cannot be exercised, the shareholders will be able to take legal action. This study has been created in order to serve the effort of creating a resource on this subject, which needs to compile special studies and law articles, Supreme Court jurisprudence and doctrinal views due to the systematics of the law.
