Kooperatiflerde Temsil İlişkisi

Abstract

Üyelerinin ihtiyaçlarını, bireysel çabaya nispeten birlikte yürütülecek daha verimli ve yoğun bir birlikte çalışma neticesinde karşılamayı hedefleyen kişi birliklerine kooperatif denir. Çalışmada, kooperatiflerin yasal organlarından genel kurul ve yönetim kurulunda temsil ilişki incelenmiştir. Kooperatif üyelerinin kooperatif faaliyetlerine bizzat katılımı esastır. 1163 sayılı Kooperatifler Kanunu'na göre bire bir katılımın mümkün olmadığı durumlarda üyenin kooperatifte söz sahibi olması amacıyla üyelerin kooperatif faaliyetlerine temsilen katılımına imkan tanınmıştır. Kooperatif genel kurullarında her üye 1163 sayılı Kooperatifler Kanunu'na göre yalnız bir oya sahiptir. Her bir üye, ancak bir diğer ortağı temsilen oy kullanabilir. Üye sayısının 1000'in üstünde olduğu kooperatiflerde, her üye en çok dokuz ortağı temsilen oy kullanabilir. Ancak kooperatif üyesinin eşi ve birinci derece yakın akrabaları da ortağı temsilen oy kullanabilir. Kooperatif üyesini temsilen yetkilendirilen temsilcinin giriştiği işlemler, kooperatif üyesinin hukuk alanında sonuçlarını doğurmaktadır. Ayrıca, kooperatif adına yönetim ve temsil yetkisini kullanan yönetim kurulu, kendi içinden bir veya birkaç üyeye, başkaca bir kooperatif üyesine veya kooperatif üyesi olmayan üçüncü bir kişiye kooperatifi temsil yetkisini devredebilir. Bu durumda seçilen kişi murahhas üye veya müdür olarak adlandırılır. Kanuna, ana sözleşmeye ve varsa iç yönergeye uygun şekilde bir yetki devri yapılmış ise girişilen işlemler kooperatif tüzel kişiliğini ve tüm kooperatif üyelerini bağlar. Ancak murahhas üye veya murahhas müdür, hukuka aykırı eylemleri nedeniyle kooperatif, kooperatif üyeleri veya alacaklıları zarara uğratmış ise, kusuru miktarınca temsilcinin hukuki sorumluluğuna başvurulabilir. Cooperatives are unions aim to meet the needs of its members as a result of collaboration. In the study, the representation relationship in the general assembly and the board of directors, which are the legal organs of the cooperatives, was examined. It is essential that the cooperative members personally participate in the actions. In cases personally participation is not possible, the members are allowed to be represented in the cooperative activities, according to the Cooperatives Law No. 1163. In the general assemblies of the cooperatives, each member has only one vote. Each member can vote on behalf of only one another member. In cooperatives with more than 1000 members, members can vote on behalf of a maximum of nine members. The spouse and first degree relatives of the cooperative member may also vote by representing. Transactions undertaken by the representative binds cooperative member's area of law. The board of directors, using its management and representation authority on behalf of the cooperative, may delegate the authority to a member of board, or a third person. Such cases, this person is called the managing member or director. If the delegation is made in accordance with the law, the transactions undertaken bind the cooperative entity. The managing director may face with legal questioning and liability depends on the fault. In such case, the board of directors' members may also have a liability, since choosing and monitoring debts remain with the board.
