Türk Hukukunda Yenileme (tecdit)

Abstract

Yenileme, Türk Borçlar Kanunu'nun 133. Ve 134. maddelerinde düzenlenmiştir. Yenileme, eski borcu sona erdiren ve eş zamanlı olarak yeni bir borç kuran bir sözleşmedir. Yenileme Roma Hukukundan bu yana gelişimini sürdürmekte ve modern hukuk sistemlerinde önemli bir yer tutmaktadır. Bu çalışma iki bölümden oluşmaktadır. Birinci bölümde yenilemenin tarihsel gelişimi ele alınmış ve terminoloji yönünden belirlemeler yapılarak yenileme kavramı açıklanmıştır. Yine birinci bölümde yenilemenin hukuki niteliği açıklanmış ve borcun nakli, ibra, sulh ve soyut borç sözleşmesi gibi yenileme ile benzerlik gösteren hukuki kurumların yenileme ile karşılaştırmalarına yer verilmiştir. Çalışmanın ikinci bölümünde ise yenilemenin koşullarına, hukuki sonuçlarına ve kanunda özel olarak düzenlenen cari hesapta yenilemeye ilişkin açıklamalar yapılmıştır. Yenilemenin koşulları incelenir iken özellikle mevcut borcun eksik bir borç olması, iptal edilebilir bir borç olması gibi ihtimaller değerlendirilmiş ve yenileme iradesinin tespitinde takip edilecek esaslar açıklanmıştır. Cari hesapta yenileme incelenir iken cari hesapta yenilemeye ilişkin özel düzenlemeler üzerinde durulmuştur. Yine ikinci bölümde sürekli borç ilişkilerinin yenilenmesi kavramı ve bu tezin konusunu oluşturan TBK m. 133 anlamında yenileme kavramları açıklanmıştır. Sürekli borç ilişkilerinin yenilenmesi, uygulamada geniş bir yer tutması nedeniyle, kira sözleşmeleri ve sigorta sözleşmeleri yönünden ayrı ayrı incelenmiş ve sözleşmenin yenilenmesi kavramından hukuki anlamda bir yenilemenin anlaşılıp anlaşılamayacağı sorunu değerlendirilmiştir.

Renewal is regulated in articles 133 and 134 of the Turkish Code of Obligations. Renewal is a contract that terminates the old debt and simultaneously creates a new debt. Renewal has been evolving since Roman law and holds an important place in modern legal systems. This study consists of two parts. In the first part, the historical development of renewal is discussed, and the concept of renewal is explained in terms of terminology. Also, in the first part, the legal nature of renewal is explained, and comparisons with legal institutions similar to renewal, such as the transfer of debt, discharge, settlement, and abstract debt contract, are made. In the second part of the study, explanations are made regarding the conditions and legal consequences of renewal, as well as the explanations specifically regulated in the law regarding renewal in a current account. When examining the conditions of renewal, possibilities such as the existing debt being an incomplete debt or a cancelable debt are evaluated, and the principles to be followed in determining the will of renewal are explained. When examining renewal in a current account, special regulations regarding renewal in a current account are emphasized. Furthermore, in the second part, the concept of renewal in the sense of article 133 of the Turkish Code of Obligations, which constitutes the subject of this thesis, and the concepts of renewal in the context of continuous debt relationships are explained. Since the renewal of continuous debt relationships has a significant place in practice, it is separately examined for lease contracts and insurance contracts, and the problem of whether a legal renewal is understood from the concept of contract renewal is evaluated.
